1. WebWorkBay Services
WebWorkBay provides digital services and business systems for local businesses. Depending on the plan purchased, services may include:
- Website design and development
- Website hosting
- Website maintenance and management
- Website edits
- Contact and lead-capture forms
- Appointment and booking systems
- Customer relationship management ("CRM") systems
- Lead pipelines
- Automated lead follow-up
- Missed-call text-back systems
- Appointment confirmations and reminders
- Review request automation
- Customer reactivation campaigns
- SMS and email communication tools
- Local SEO-related services
- Analytics and tracking
- Third-party software integrations
- Other digital or automation services described on the applicable pricing or checkout page
The services included in your subscription are determined by the plan selected at the time of purchase and any additional written agreement between you and WebWorkBay. Not every feature is included in every plan.
2. Subscription Services
Many WebWorkBay services are provided through recurring monthly or annual subscriptions.
By purchasing a recurring subscription, you authorize WebWorkBay and its payment processor to automatically charge the payment method provided during checkout at the billing frequency and price displayed when you subscribed.
Your subscription will continue automatically until canceled in accordance with these Terms. The subscription price applicable to you is the price shown and agreed to during checkout, unless you later agree to an upgrade, downgrade, additional service, or pricing change.
3. Payment Processing
Payments may be processed by Stripe or another third-party payment processor. WebWorkBay does not directly store complete credit or debit card information.
By providing payment information, you represent that:
- You are authorized to use the payment method provided;
- The payment information is accurate;
- You authorize recurring charges in accordance with your selected subscription; and
- You are responsible for keeping your payment method current.
Your use of a third-party payment processor may also be subject to that provider's terms and privacy policies.
4. Recurring Billing
Recurring subscription charges will generally occur on or around the same billing date each billing cycle. Billing dates may vary in limited circumstances due to payment-processing issues, plan changes, trials, account credits, failed payments, or changes made through our payment processor.
You authorize WebWorkBay to charge all subscription fees, applicable taxes, approved add-ons, and other agreed charges to your payment method. Unless otherwise stated during checkout, subscriptions renew automatically.
5. Failed Payments
If a subscription payment fails, WebWorkBay or our payment processor may:
- Retry the payment;
- Notify you of the failed payment;
- Request updated billing information;
- Temporarily restrict certain services;
- Suspend website hosting, CRM access, automation services, or other subscription features; or
- Terminate the subscription after reasonable payment attempts.
You remain responsible for unpaid amounts associated with services already provided. Restoration of suspended services may require payment of outstanding balances.
6. Cancellation
You may cancel your WebWorkBay subscription at any time before your next renewal. Unless otherwise stated in writing, cancellation becomes effective at the end of your current paid billing period.
You will continue to have access to the services included in your subscription through the end of the paid billing period, subject to these Terms. After cancellation takes effect:
- Future recurring charges will stop;
- Hosting or software services provided as part of your subscription may end;
- Automations and CRM services may be disabled;
- WebWorkBay will no longer be obligated to provide ongoing edits, management, maintenance, or support;
- Website availability may be affected as described in the Website Ownership section below.
Cancellation may be requested through any cancellation method made available by WebWorkBay, including a customer billing portal where available, or by contacting sufi@webworkbay.com.
You should cancel before your next renewal date if you do not want another recurring charge.
7. Refund Policy
Unless otherwise required by applicable law or expressly agreed to by WebWorkBay in writing: Payments that have already been processed are non-refundable.
This includes:
- Monthly subscription payments;
- Annual subscription payments;
- Setup charges, if applicable;
- Add-on services;
- Custom work already performed; and
- Partial or unused portions of a billing period.
WebWorkBay does not generally provide prorated refunds when a subscription is canceled during an active billing period. If you believe you were charged incorrectly, contact us promptly at sufi@webworkbay.com.
Nothing in this section limits any refund or cancellation right that cannot legally be waived.
8. Price Changes
WebWorkBay may change the pricing of its services. Price changes will not retroactively affect amounts already paid.
Where required or reasonably appropriate, we will provide advance notice before a new price applies to an existing recurring subscription. If you do not agree with a future pricing change, you may cancel your subscription before the new price becomes effective.
9. Customer Responsibilities
To provide our services effectively, WebWorkBay may require information, materials, approvals, and account access from you. You agree to provide accurate and reasonably timely information, including where applicable:
- Business name
- Contact information
- Business address
- Services
- Business hours
- Service areas
- Logos and branding
- Photos
- Existing website information
- Domain information
- Booking links
- Social media profiles
- Google Business Profile information
- Customer communication preferences
- Other information reasonably necessary to provide your services
You are responsible for verifying the accuracy of information published on your website or used within your systems. WebWorkBay is not responsible for delays resulting from your failure to provide requested information, approvals, credentials, files, or access.
10. Website Design and Development
WebWorkBay may design, develop, manage, and maintain websites as part of an active subscription. Website design decisions may include:
- Page structure
- Layout
- Navigation
- Calls to action
- Mobile presentation
- Content organization
- Conversion elements
- SEO-related structure
- Image placement
- Technical implementation
WebWorkBay uses professional judgment in making these decisions based on the customer's industry, information provided, available assets, and selected plan. Unless otherwise agreed, estimated website completion or launch dates are estimates and are not guaranteed deadlines.
11. Website Edits and Revisions
Plans that include ongoing website edits allow customers to request reasonable changes to an existing website during an active subscription. Examples may include:
- Updating text;
- Replacing images;
- Changing hours or contact information;
- Adding or removing ordinary website content;
- Updating services;
- Making reasonable layout adjustments.
"Unlimited edits" or similar language does not mean unlimited custom development or unlimited simultaneous work. Requests involving substantial redesigns, custom software development, advanced integrations, major new functionality, large-scale content creation, complete website rebuilds, or work outside the original service scope may require additional fees.
WebWorkBay will notify you before separately billable work is performed.
12. Website Ownership
Customer-provided materials remain the property of the customer. This includes, where applicable:
- Business names;
- Logos;
- Trademarks;
- Original photographs;
- Videos;
- Written content supplied by the customer; and
- Other materials owned by the customer before being provided to WebWorkBay.
WebWorkBay retains ownership of its pre-existing and reusable intellectual property, including:
- Website frameworks;
- Templates;
- Code libraries;
- Reusable components;
- Design systems;
- Automation systems;
- CRM configurations;
- Workflows;
- Software;
- Processes;
- Methods;
- Internal tools; and
- Other technology or intellectual property developed independently of a specific customer.
Unless WebWorkBay expressly agrees otherwise in writing, websites provided through a recurring WebWorkBay subscription are made available to the customer as part of the active subscription service. Your subscription provides you with the right to use the website for your business while the applicable subscription remains active and in good standing.
If the subscription ends, WebWorkBay is not obligated to continue hosting or maintaining the website. If you want to transfer, export, purchase, or otherwise retain a website independently of the WebWorkBay subscription after cancellation, contact WebWorkBay before canceling. Website transfers, exports, migrations, or ownership buyouts may be subject to technical limitations and additional fees. Any transfer arrangement must be confirmed by WebWorkBay in writing.
13. Domain Ownership
If you already own a domain name before working with WebWorkBay, ownership of that domain remains yours. WebWorkBay does not obtain ownership of a customer-owned domain merely by connecting, configuring, or managing it. Where practical, customers are encouraged to keep domain registrations in accounts they control.
If WebWorkBay registers a domain on your behalf, ownership and transfer terms may depend on the specific arrangement, registrar, and services purchased. You are responsible for domain renewal fees unless your plan expressly states that domain registration or renewal is included. WebWorkBay is not responsible for loss of a domain caused by expired registrations, inaccurate customer information, registrar policies, customer actions, or circumstances outside our reasonable control.
14. Customer Content
You retain ownership of content that you provide to WebWorkBay. By providing content to us, you grant WebWorkBay a non-exclusive, worldwide license to use, copy, edit, resize, format, host, reproduce, display, and otherwise process that content as reasonably necessary to provide your services.
You represent that you have the legal right to provide and use any:
- Photographs;
- Videos;
- Logos;
- Written content;
- Reviews;
- Testimonials;
- Trademarks;
- Customer information;
- Marketing lists;
- Graphics; or
- Other materials
that you provide to WebWorkBay. You agree not to provide content that infringes another person's intellectual property, privacy, publicity, contractual, or other legal rights.
15. AI-Assisted Content
WebWorkBay may use artificial intelligence or other software-assisted tools in connection with design, development, research, content drafting, image preparation, automation, technical work, or other services. Where appropriate, WebWorkBay may review, modify, or adapt AI-assisted outputs before use.
You remain responsible for reviewing business-specific information for accuracy before approving publication.
16. Third-Party Services
WebWorkBay services may depend on third-party products or platforms. Examples may include:
- Stripe;
- GoHighLevel;
- Domain registrars;
- Hosting providers;
- Email providers;
- SMS providers;
- Google;
- Meta;
- Booking platforms;
- Payment processors;
- Analytics platforms;
- CRM software;
- Mapping services;
- Social media platforms; and
- Other software or infrastructure providers.
Third-party services are governed by their own terms, privacy policies, pricing, availability, and technical limitations. WebWorkBay does not control third-party platforms and cannot guarantee that they will remain continuously available, unchanged, or compatible. Features dependent on third-party services may change or become unavailable due to factors outside WebWorkBay's control. Where reasonable, WebWorkBay may modify integrations or substitute comparable services when necessary.
17. Third-Party Fees
Some third-party services may charge additional fees that are not included in your WebWorkBay subscription. Examples may include:
- Domain registration fees;
- SMS usage;
- Email usage;
- Payment processing fees;
- Advertising spend;
- Premium software subscriptions;
- Phone-number fees;
- External booking-platform fees;
- Optional integrations.
Any such costs will either be disclosed where reasonably possible or billed directly by the applicable third party.
18. SMS Messaging Terms
18.1 Program Description
WebWorkBay may send SMS or text messages to individuals who have expressly opted in to receive messages from WebWorkBay. Depending on the consent provided and the individual's interaction with WebWorkBay, messages may include:
- Appointment confirmations;
- Appointment reminders;
- Scheduling and rescheduling updates;
- Responses to inquiries;
- Customer support messages;
- Service-related notifications;
- Account-related communications;
- Follow-up communications;
- Marketing or promotional messages where the recipient has separately provided appropriate consent.
Message types will be consistent with the consent obtained. Consent to receive promotional SMS messages is not a condition of purchasing WebWorkBay products or services.
18.2 Message Frequency
Message frequency varies depending on your interactions with WebWorkBay and the type of messaging program you have joined. Message and data rates may apply. Contact your wireless provider for questions regarding your text or data plan.
18.3 Opt-Out Instructions
You may stop receiving SMS messages at any time by replying STOP to a message from WebWorkBay. After receiving a valid STOP request, we may send a confirmation message stating that you have been unsubscribed. After that confirmation, you will no longer receive messages from that messaging program unless you opt in again.

18.5 Carrier Disclaimer
Wireless carriers are not liable for delayed or undelivered messages.
18.6 Mobile Information and Consent
No mobile information will be shared with third parties or affiliates for their own marketing or promotional purposes. Information may be shared with service providers as reasonably necessary to provide customer support, messaging infrastructure, or services on WebWorkBay's behalf. Text messaging originator opt-in data and consent will not be shared with third parties or affiliates for their own marketing or promotional purposes.
18.7 Eligibility
You must be at least 18 years old or otherwise legally permitted to provide consent to participate in WebWorkBay SMS messaging programs.
18.8 Rejoining
If you previously opted out, you may resume receiving messages by completing an applicable opt-in process again.
19. Customer Use of SMS and Email Systems
Certain WebWorkBay plans may provide customers with tools for sending SMS, email, automated follow-up, appointment reminders, review requests, or other communications to the customer's own leads and customers. You are responsible for ensuring that your use of those systems complies with applicable laws, regulations, carrier rules, consent requirements, opt-out requirements, and industry requirements.
You agree not to use WebWorkBay services to:
- Send unlawful spam;
- Send deceptive communications;
- Contact recipients without legally sufficient permission where permission is required;
- Ignore valid opt-out requests;
- Purchase or upload unlawfully obtained contact lists;
- Harass recipients;
- Engage in fraud;
- Send prohibited content;
- Circumvent carrier filtering or messaging rules.
WebWorkBay may suspend messaging functionality if we reasonably believe use of the system violates law, carrier policy, provider requirements, or these Terms.
20. Email Communications
WebWorkBay may send transactional or service-related emails regarding:
- Purchases;
- Billing;
- Onboarding;
- Projects;
- Support;
- Account activity;
- Website updates;
- Service notices.
Where permitted, WebWorkBay may also send promotional or marketing emails. Promotional emails will include an unsubscribe mechanism where required. Service-related communications that are necessary to administer an active customer relationship may continue even if you unsubscribe from promotional marketing.
21. CRM and Customer Data
Customers may use WebWorkBay-provided CRM, forms, booking systems, and automation tools to collect or process information about their own customers and leads. The WebWorkBay customer is responsible for determining:
- What information is collected;
- Why it is collected;
- Whether appropriate notice is provided;
- Whether legally required consent has been obtained;
- How the information is used;
- Which communications are sent.
WebWorkBay may process customer and lead information as reasonably necessary to provide and support the purchased services. Customers are responsible for complying with applicable privacy, communications, marketing, and consumer-protection laws governing their own business.
22. Local SEO and Search Services
Certain plans may include local SEO, website optimization, service-page creation, location-page creation, Google-related optimization, or other search visibility services. WebWorkBay may use generally accepted practices intended to improve the quality, relevance, technical structure, or visibility of websites.
However, search engines control their own:
- Algorithms;
- Indexing;
- Rankings;
- Search-result layouts;
- Maps placement;
- Advertising systems.
These systems can change without notice. Accordingly, WebWorkBay does not guarantee any particular ranking, search position, traffic volume, or search-engine result.
23. No Guaranteed Business Results
WebWorkBay provides websites and business systems designed to support customer acquisition, communication, management, and retention. However, WebWorkBay does not guarantee:
- A particular number of leads;
- Website visitors;
- Phone calls;
- Form submissions;
- Appointments;
- Bookings;
- Reviews;
- Customers;
- Sales;
- Revenue;
- Profit;
- Search rankings;
- Advertising results;
- Return on investment;
- Business growth.
Results vary based on numerous factors outside WebWorkBay's control, including industry, location, competition, pricing, reputation, customer service, demand, advertising, market conditions, and how the customer operates their business.
24. Customer Approvals
WebWorkBay may request approval before launching websites, campaigns, major content updates, or other significant customer-facing changes. By approving work, you accept responsibility for reviewing the business-specific information included in that work. WebWorkBay may rely on your approval when publishing content or launching systems.
25. Intellectual Property
The WebWorkBay name, logo, website, branding, software, layouts, graphics, documentation, processes, systems, templates, workflows, design elements, and other original materials are protected by intellectual property laws. Except for customer-owned content and rights expressly granted under these Terms, WebWorkBay retains all rights in its intellectual property. You may not copy, reproduce, resell, distribute, reverse engineer, sublicense, commercially exploit, or create derivative products from WebWorkBay's proprietary systems or materials except with written permission.
26. Portfolio and Promotional Use
Unless you request otherwise in writing, WebWorkBay may identify your business as a customer and display publicly available portions of completed work for:
- Portfolio purposes;
- Case studies;
- Social media;
- Marketing;
- Sales presentations;
- Promotional materials.
Examples may include screenshots of a publicly launched website or publicly visible business branding. WebWorkBay will not intentionally publish confidential business information for promotional purposes without appropriate authorization. You may request that WebWorkBay stop using your business in future promotional materials by contacting us in writing.
27. Confidential Information
Each party may receive non-public information from the other in connection with the services. WebWorkBay will use reasonable care when handling confidential information and will use such information only as reasonably necessary to provide services, operate our business, comply with law, or protect legitimate interests.
Information is not considered confidential if it:
- Is publicly available through no breach of obligation;
- Was lawfully known before disclosure;
- Is independently developed; or
- Is lawfully received from another source without confidentiality restrictions.
28. Account Security and Credentials
You are responsible for protecting credentials associated with accounts you control. You should not submit passwords through ordinary website forms unless WebWorkBay specifically provides an appropriate secure method. When possible, WebWorkBay may request delegated, administrative, collaborator, or temporary access rather than ownership of your accounts. You agree to notify us promptly if you believe an account connected to WebWorkBay services has been compromised.
29. Acceptable Use
You may not use WebWorkBay services for unlawful, fraudulent, abusive, deceptive, harmful, or prohibited activity. Prohibited uses include:
- Fraud;
- Phishing;
- Malware;
- Unauthorized surveillance;
- Unlawful spam;
- Intellectual-property infringement;
- Harassment;
- Misrepresentation;
- Illegal products or services;
- Attempts to compromise systems;
- Circumvention of platform or carrier rules;
- Collection or use of personal information in violation of applicable law.
WebWorkBay may refuse, restrict, suspend, or terminate services associated with prohibited activity.
30. Suspension
WebWorkBay may temporarily suspend some or all services when reasonably necessary due to:
- Unpaid invoices;
- Failed subscription payments;
- Security threats;
- Abuse;
- Violations of these Terms;
- Legal requirements;
- Carrier or provider requirements;
- Third-party platform restrictions;
- Fraud concerns;
- Technical emergencies.
Where reasonably possible, WebWorkBay will attempt to provide notice before or shortly after suspension.
31. Termination by WebWorkBay
WebWorkBay may terminate a customer relationship or subscription where:
- Required payments remain unpaid;
- The customer materially breaches these Terms;
- The customer engages in unlawful activity;
- The customer abuses WebWorkBay staff, systems, or third-party platforms;
- Continued service creates unreasonable legal, security, financial, or reputational risk;
- A third-party provider prevents WebWorkBay from continuing the service.
Where appropriate, WebWorkBay may provide an opportunity to correct a breach before termination.
32. Effect of Termination
When a subscription ends:
- WebWorkBay's obligation to provide recurring services ends;
- Website management and hosting may end;
- CRM and automation access may be disabled;
- Messaging services may stop;
- Customer data may eventually be deleted in accordance with our retention practices;
- Outstanding unpaid balances remain due;
- Provisions intended to survive termination remain effective.
You are responsible for exporting or retaining information you need before your access expires, where export functionality is available.
33. Availability and Maintenance
WebWorkBay aims to provide reliable services but does not guarantee uninterrupted availability. Services may occasionally be unavailable due to:
- Maintenance;
- Updates;
- Internet failures;
- Hosting failures;
- Third-party outages;
- Platform changes;
- Cybersecurity incidents;
- Carrier interruptions;
- Events outside our reasonable control.
WebWorkBay may perform maintenance or make technical changes when reasonably necessary.
34. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, WEBWORKBAY SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EXCEPT WHERE EXPRESSLY PROVIDED IN WRITING, WEBWORKBAY DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:
- Merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Uninterrupted service;
- Error-free operation;
- Specific business performance.
Nothing in these Terms limits rights that applicable law does not permit us to waive.
35. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WEBWORKBAY AND ITS OWNERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICES. This includes, without limitation:
- Lost profits;
- Lost revenue;
- Lost business opportunities;
- Lost leads;
- Lost data;
- Business interruption;
- Search-ranking changes;
- Third-party platform failures.
TO THE FULLEST EXTENT PERMITTED BY LAW, WEBWORKBAY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO WEBWORKBAY DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some provisions may not apply to you.
36. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless WebWorkBay and its owners, employees, contractors, agents, representatives, and affiliates from claims, damages, liabilities, losses, expenses, and reasonable legal fees arising out of or relating to:
- Content you provide;
- Your business activities;
- Your products or services;
- Your misuse of WebWorkBay services;
- Your violation of these Terms;
- Your violation of law;
- Your infringement of another person's rights;
- Your unlawful use of customer information;
- SMS or email messages sent through your account;
- Claims relating to customer-provided representations, warranties, promotions, products, or services.
37. Force Majeure
WebWorkBay will not be responsible for delays or failures caused by circumstances beyond our reasonable control. These may include natural disasters, fires, severe weather, war, terrorism, labor disputes, governmental actions, internet outages, power outages, telecommunications failures, cyberattacks, carrier disruptions, third-party platform outages, or similar events.
38. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or WebWorkBay services will be brought in the appropriate state or federal courts located in Contra Costa County, California, unless another forum is required by applicable law or the parties separately agree to arbitration.
39. Changes to These Terms
WebWorkBay may revise these Terms from time to time. The current version will be posted on our website with the applicable Effective Date. Material changes affecting active paid services may also be communicated through email, account notification, or another reasonable method. Continued use of the services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
40. Severability
If any provision of these Terms is found unenforceable or invalid, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
41. No Waiver
Failure by WebWorkBay to enforce a provision of these Terms does not waive our right to enforce that provision later.
42. Assignment
You may not assign or transfer your rights or obligations under these Terms without WebWorkBay's prior written consent. WebWorkBay may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or transfer of the business.
43. Entire Agreement
These Terms, together with:
- The WebWorkBay Privacy Policy;
- The applicable pricing page;
- Checkout information;
- Your selected subscription plan;
- Any applicable order form; and
- Any separately signed written agreement
constitute the agreement between you and WebWorkBay regarding the applicable services. If a separately signed written agreement expressly conflicts with these Terms, the separately signed agreement will control to the extent of that conflict.
